Terms & Conditions

The ground rules for using our website and working with us — written to be clear and fair to both sides.

Last updated:

1. About these terms

These Terms & Conditions ("Terms") apply when you use the website wireframeweb.in (the "Website") or engage Wire Frame Web ("we", "us", "our") for any service. By using the Website or accepting a proposal from us, you agree to these Terms.

For client projects, the proposal, quotation or agreement we send you (the "Project Agreement") sets out the scope, price and timeline. If the Project Agreement conflicts with these Terms, the Project Agreement wins.

2. Our services

We provide branding, UI/UX design, web design and development, e-commerce development, digital marketing and SEO, mobile app development, and AI solutions including chatbots, AI agents, custom models and automation. Service descriptions on the Website are general information. The exact deliverables for your project are the ones listed in your Project Agreement.

3. Quotes and payment

  • Quotes are valid for 30 days unless they say otherwise.
  • Unless the Project Agreement says otherwise, projects start after an advance payment (usually 50%), with the balance due before final delivery or launch.
  • Prices are in Indian Rupees (₹) and exclude GST and other applicable taxes, which are added to invoices.
  • Invoices are payable within 7 days. We may pause work on overdue accounts until payment is received.
  • Third-party costs such as domains, hosting, premium plugins, stock assets, app store fees, ad spend and AI platform usage are paid by you, either directly or reimbursed to us, unless included in your quote.
  • Monthly retainers (such as marketing or maintenance) are billed in advance and renew until either side gives 30 days' notice.

4. Your responsibilities

To keep your project on time, you agree to:

  • Provide content, brand assets, feedback, approvals and access when we ask for them.
  • Make sure you have the rights to any text, images, logos, data or other material you give us.
  • Review and test deliverables before approving them, and check that content and claims are accurate and lawful.
  • Name one person who can give feedback and approvals on your behalf.

Delays in feedback or materials may move the timeline, and long pauses (over 30 days) may require re-scheduling.

5. Timelines, revisions and changes

Timelines in a Project Agreement are good-faith estimates that depend on timely feedback. Each phase includes the number of revision rounds stated in your Project Agreement. Work outside the agreed scope, or extra revision rounds, will be quoted separately before we start it.

6. Ownership and intellectual property

  • Once you have paid in full, you own the final deliverables we create specifically for you, such as your logo, designs, website code and content.
  • We keep ownership of our pre-existing tools, code libraries, templates, know-how and unused concepts. Where these form part of your deliverables, you receive a permanent licence to use them as part of your project.
  • Open-source software, fonts, stock media and third-party platforms remain subject to their own licences.
  • Until full payment is received, all rights in the deliverables stay with us.
  • We may show completed work in our portfolio and marketing unless you ask us in writing not to, or the work is confidential under your Project Agreement.

7. AI services

When we build AI chatbots, AI agents, custom models or automations for you:

  • AI outputs are generated automatically and may sometimes be inaccurate, incomplete or unexpected. You are responsible for reviewing how AI is used in your business and for decisions made using its outputs.
  • We recommend human review for any AI action with legal, financial, medical or safety consequences.
  • AI solutions may rely on third-party model providers and platforms. Their availability, pricing and terms can change, and usage costs are billed as agreed in your Project Agreement.
  • You must have the right to use any data you provide for training or knowledge bases, including any required consent from your own customers. We use your data only for your project.

8. Marketing and SEO results

Search rankings, traffic, leads and ad performance depend on factors outside our control, such as search engine and platform algorithms, competition and market conditions. We work to agreed best practices and report transparently, but we do not guarantee specific rankings or results.

9. Third-party services

Projects often use third-party services such as hosting, domain registrars, payment gateways, e-commerce platforms, app stores and social media platforms. We are not responsible for their outages, policy changes, account suspensions or fees, although we will help you resolve issues where we can.

10. Confidentiality

We keep your non-public business information confidential and use it only to deliver your project. We are happy to sign a separate non-disclosure agreement (NDA) before you share details.

11. Using our Website

The content on this Website, including text, graphics, logos and code, belongs to Wire Frame Web unless stated otherwise. You may view and share it for personal or internal business purposes, but you may not copy, resell or republish it without our written permission.

You must not misuse the Website, for example by trying to gain unauthorised access, sending spam through our forms, or interfering with its security. Website content is general information and is not professional, legal or financial advice.

12. Warranties and limitation of liability

We deliver our services with reasonable skill and care. If a deliverable has a defect within 30 days of launch that is caused by our work, we will fix it at no cost. Apart from this, the Website and services are provided "as is".

To the extent the law allows, we are not liable for indirect or consequential losses such as loss of profit, revenue, data or business opportunity. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the 12 months before the claim.

13. Indemnity

You agree to compensate us for claims, losses or costs arising from material you provided (such as content or images you did not have the rights to use), from your use of the deliverables in breach of law, or from your breach of these Terms.

14. Cancellation and termination

Either side may end a project with written notice if the other seriously breaches these Terms or the Project Agreement and does not fix it within 15 days. If a project is cancelled, you pay for work completed up to the cancellation date, and advance payments cover work already done and costs already committed. Once paid for, we hand over the completed work.

15. Governing law and disputes

These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that fails within 30 days, the courts at Visakhapatnam, Andhra Pradesh will have exclusive jurisdiction.

16. Changes and contact

We may update these Terms from time to time. The "Last updated" date at the top shows when they last changed, and the version in force when you sign a Project Agreement applies to that project. Our handling of personal data is described in our Privacy Policy.
